Ltd, China, for $5.125 million.
The transaction, announced through an exchange filing on December 23, will raise Helix’s ownership in the joint venture to 50%. Luoxin Aurovitas is currently a 30:70 joint venture between Helix and Shandong Luoxin Pharmaceutical Group Stock Co., Ltd.
The acquisition will be completed within the next three months and is aimed at expanding manufacturing capacity by adding two high-speed production lines to cater to rising market demand. The company said the move would help achieve economies of scale in inhalation product manufacturing.
Luoxin Aurovitas operates in the pharmaceutical sector and was incorporated in March 2019 to manufacture inhalation products for the Chinese market. The entity reported a turnover of $2.34 million in FY25, up from $0.48 million in FY24 and $0.16 million in FY23. Its net worth stood at $15.29 million as of September 30, 2025.
Aurobindo said the acquisition qualifies as a related-party transaction as it involves a joint venture entity, but added that it has been executed at arm’s length based on third-party valuation. No regulatory approvals are required.
The agreement also grants Helix the right to acquire the remaining 50% stake by December 2029 at an agreed price of $18.86 million, subject to specified terms and conditions.
