The company intends to buyback 10 crore equity shares or 2.41% of the total paid-up equity share capital of the company, Infosys said in an exchange filing.

Price of the share buyback has been fixed as ₹1,800 per share, which is a 19% premium to Infosys's closing price on Thursday. The buyback will be done via the tender offer route, which means that a company repurchases its own shares from shareholders at a fixed price, which is generally at a premium to the current price.

This is the fifth and the largest buyback that Infosys has carried out in the last eight years, starting 2017.

The previous three instances had seen the company announce share buybacks via open market operations. However, with buybacks from the open market being phased out from April 1 this year, this will be a buyback via the tender offer route.

Infosys has also constituted a buyback committee that will determine the other aspects of the share buyback

The buyback size remains within regulatory limits, not exceeding 25% of the aggregate of paid-up capital and free reserves, based on the latest audited financial statements as of June 30, 2025.

As of June 2025, Infosys had cash worth nearly ₹24,500 crore on its books.

Brokerage firm Morgan Stanley wrote in its note on Tuesday that it does find the Infosys buyback timing to be interesting, particularly in the context of heightened macro uncertainty.

It estimated size of the buyback to range from ₹10,000 crore to ₹14,000 crore, which means the size of the buyback is higher than their estimates. Historically, buyback price has been at a premium of 18% to 25% from the previous day's close, according to Morgan Stanley.

The US-listed shares of Infosys (ADR) have recovered from the day's low and are currently trading 0.2% higher at $17.01.

The stock ended 1.5% lower in Indian trading on Thursday at ₹1,512, having rallied as much as 7% in the previous two sessions.
