The offer will comprise a fresh issue of equity shares worth ₹1,000 crore and an offer for sale (OFS) of 88.8 lakh shares by existing investors, according to the filing dated August 18.
Promoters Ranvir Singh and Krishnan Vishwanathan hold a combined 30.89% stake, while investors such as Temasek (through Vertex), Sistema PJSFC, Endiya Trust, VenturEast, and AION Advisory together own 46.33%. All these investors will participate in the OFS.
The company may also raise ₹200 crore via a pre-IPO placement, which would reduce the fresh issue size. Of the proceeds, ₹750 crore will be infused into subsidiary Si Creva, a middle-layer NBFC, to bolster its capital base, with the balance allocated for general corporate purposes.
Founded in 2016, OnEMI serves over 19 lakh active customers with an AUM of ₹4,086.6 crore as of March 2025, up from ₹2,604.2 crore a year earlier. However, FY25 saw disbursements drop 46.8% to ₹9,857.8 crore, while profit declined 18.6% to ₹160.6 crore and revenue fell 20.1% to ₹1,337.5 crore.
JM Financial, HSBC Securities, Nuvama Wealth, SBI Capital Markets, and Centrum Capital are the appointed merchant bankers.
