The acquisition, valued at approximately ₹213 crore in cash, will be completed within four weeks, subject to the fulfillment of customary closing conditions. The transaction is expected to be executed in one or more tranches.

Megasoft said the acquisition provides the company with a global platform in the aerospace and defence sector and enables it to scale rapidly, in line with its strategy of pursuing inorganic growth.

The company has also received the requisite approvals under the UK's National Security and Investment Act.

Nasmyth Group, incorporated in England and Wales, operates multiple manufacturing facilities in the UK and one in India.

The group specialises in complex precision engineering, manufacturing, advanced metal treatments, and special processes, catering to marquee OEM customers in the aerospace and defence sector.

For the twelve-month period ending April 2025, Nasmyth Group reported revenue of GBP 59.92 million, compared with GBP 54.03 million in April 2024 and GBP 44.19 million in April 2023.

Shares of Megasoft Ltd. hit the upper circuit of 5% on Monday to close at ₹185.43.
