Nazara's UK arm will initially acquire a 50% stake in Bluetile and Bestplay for $100.3 million (₹918 crore). Of this, $59.7 million will be paid at the first closing, while the remaining $40.6 million will be settled within six months.

The company also retains the option to acquire the remaining 50% stake by 2028, with the valuation pegged at 6.6 times trailing calendar year EBITDA.

Up to 25% of the consideration may be paid in equity, at Nazara's discretion.

In addition, the deal includes performance-linked earn-outs of up to $98.2 million (₹898 crore), contingent on achieving revenue and EBITDA targets over calendar years 2027 to 2029.

These payouts are scheduled between 2028 and 2030.

Speaking to CNBC-TV18 post the company's third quarter earnings, the management had indicated that the company currently holds around ₹700 crore in net cash.

It also said that the cost of acquiring users for Kiddopia has declined, supported by a centre of excellence built over the past year.

On the financial front, Nazara reported organic revenue growth of 10% and profit after tax growth of 25%. For the first nine months of FY26, revenue rose 29.7% year-on-year to ₹1,431 crore, while EBITDA increased 73% to ₹177 crore, with margins expanding to 12.4% from 9.3%.

However, profit after tax declined sharply to ₹11.3 crore from ₹48.9 crore a year earlier, largely due to an exceptional item of ₹915 crore related to impairment in its Moon Technologies gaming investment.Continue ReadingTagsNazara Technologiesshare market today
