The acquisition was announced on Thursday, December 18.
Under the joint venture agreement, RCPL will hold a majority stake in the company, while Udhaiyam’s existing promoters will retain a minority shareholding. The transaction adds Udhaiyam to RCPL’s branded staples portfolio.
Udhaiyam Agro Foods Private Limited operates under the flagship brand Udhaiyam and has a market presence of over three decades in Tamil Nadu. The brand has established itself across staple and food categories, including rice, pulses, spices, snacks and idli batter, supported by a wide distribution network in the state.
Following the acquisition, the company’s promoters, S Sudhakar and S Dinakar, will continue to hold a minority stake and remain associated with the business. Both have over 30 years of experience in the staples segment and have been involved in scaling the packaged pulses business at Udhaiyam.
RCPL stated that the acquisition aligns with its focus on expanding its presence in the branded staples segment and working with legacy Indian brands. The company said the joint venture would support the expansion of Udhaiyam beyond Tamil Nadu.
RCPL is the FMCG arm of Reliance Industries Limited and operates across multiple consumer product categories.
The shares of Reliance Industries ended with minor cuts in the session on Thursday. The stock has gained over 26% in the year so far.
